1. Introduction and Acceptance

Welcome to Keepbase. These Terms of Service ("Terms") govern your access to and use of the Keepbase platform, website, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

Keepbase is a subscription retention platform that helps SaaS businesses reduce churn by intercepting cancellations and presenting targeted retention offers to customers.

If you do not agree to these Terms, you may not access or use the Service. We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Service Description

Keepbase provides a subscription retention platform that enables SaaS businesses to:

• Connect their Stripe accounts via OAuth
• Monitor subscription cancellations in real-time
• Present customized retention offers (discounts, pauses, downgrades)
• Collect cancellation feedback through surveys
• Analyze churn metrics and save rates

The Service integrates with Stripe Connect to access your subscription data. Keepbase does not process payments directly; all payment processing is handled by Stripe, Inc.

We strive to maintain service availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

3. User Accounts and Security

To use the Service, you must create an account by providing accurate and complete information, including a valid email address. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your account information remains accurate and up-to-date

You must be at least 18 years old to use the Service. By creating an account, you represent that you meet this age requirement and have the authority to bind your business to these Terms.

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. Subscription and Billing

4.1 Pricing

Keepbase offers a subscription-based pricing model at $29 per month. Your subscription will automatically renew each month unless you cancel before the renewal date.

4.2 Payment Processing

All payments are processed through Stripe, Inc. Keepbase does not store your credit card information. By subscribing, you agree to Stripe's terms and authorize Stripe to charge your payment method.

4.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period at the then-current subscription rate. You will be charged on the same day each month until you cancel your subscription.

4.4 Refund Policy

All subscription fees are non-refundable. You may cancel your subscription at any time through your account dashboard, but no refunds will be provided for partial billing periods. Upon cancellation, you will retain access to the Service until the end of your current billing period.

4.5 Cancellation

You may cancel your subscription at any time by accessing your account settings or by contacting hello@keepbase.dev. Cancellations take effect at the end of the current billing period.

4.6 Price Changes

We reserve the right to change our pricing at any time. Price changes will be communicated at least 30 days in advance and will apply to subsequent billing periods. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Stripe Connect Integration

5.1 Stripe Services Agreement

When you connect your Stripe account to Keepbase, you also agree to be bound by the Stripe Services Agreement. Keepbase acts as a service provider and uses Stripe Connect to access your subscription data.

5.2 Data Access and Sharing

By connecting your Stripe account, you authorize Keepbase to:

• Access your Stripe subscription data via OAuth
• Monitor subscription status changes and cancellation events
• Present retention offers to your customers on your behalf
• Apply coupons and modify subscription statuses when authorized

All access to your Stripe account is encrypted and secured. We store your Stripe access tokens using AES-256-GCM encryption.

5.3 Stripe as Payment Processor

Stripe processes all payments between you and your customers. Keepbase is not the merchant of record and does not handle payment card information. For payment-related questions, refer to Stripe's documentation or contact Stripe support.

5.4 Disconnecting Stripe

You may disconnect your Stripe account at any time from your Keepbase dashboard. Upon disconnection, Keepbase will no longer have access to your Stripe data, and retention offers will cease to function.

6. Intellectual Property

Keepbase and its original content, features, and functionality are owned by Keepbase and are protected by international copyright, trademark, and other intellectual property laws.

You retain all rights to the data you provide to Keepbase, including customer information and subscription data. Keepbase does not claim ownership of your data.

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes, subject to these Terms.

7. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Engage in fraudulent activities or payment violations
• Impersonate another person or entity
• Transmit malware, viruses, or harmful code
• Interfere with or disrupt the Service or its servers
• Attempt to gain unauthorized access to any systems or data
• Use the Service to harass, abuse, or harm others
• Scrape, crawl, or reverse engineer the Service

Violation of this policy may result in immediate termination of your account without refund.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

You are responsible for ensuring you have the necessary rights and permissions to share customer data with Keepbase. You represent that your use of the Service complies with all applicable privacy laws, including GDPR and CCPA.

We implement industry-standard security measures to protect your data, including encryption at rest and in transit, row-level security in our database, and regular security audits.

9. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Keepbase does not guarantee that:

• The Service will meet your specific requirements
• The Service will be uninterrupted, secure, or error-free
• Results obtained from using the Service will be accurate or reliable
• Any retention offers will reduce your churn rate

You use the Service at your own risk. We are not responsible for any losses resulting from service downtime, data loss, or integration issues.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEEPBASE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Unauthorized access to or alteration of your data
• Third-party conduct or content on the Service
• Any other matter relating to the Service

IN NO EVENT SHALL KEEPBASE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO KEEPBASE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability. In such cases, the above limitations may not apply to you.

11. Dispute Resolution and Governing Law

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions.

11.2 Venue

You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in King County, Washington. You consent to the personal jurisdiction of such courts.

11.3 Informal Resolution

Before filing a claim, you agree to attempt to resolve any dispute informally by contacting us at hello@keepbase.dev. We will attempt to resolve the dispute in good faith within 30 days.

12. Miscellaneous

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Keepbase regarding the Service and supersede all prior agreements.

12.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

12.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

12.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

12.5 Force Majeure

Keepbase shall not be liable for any failure to perform due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
